Terms of Service

These terms apply when you use BrainCopy. The short version: we give you a place to collect and organise your life, with AI to help. You keep ownership of your content. We back up the storage we provision, but you should still keep your own copies of anything irreplaceable. If something goes wrong, our liability is capped at the greater of the fees you've paid us in the past twelve months or EUR 100. You can stop using the service and export your data at any time.

1. Who these terms apply to

By creating an account or using the BrainCopy service (the website at braincopy.ai, the application at app.braincopy.ai, the BrainCopy iOS and Android apps, the Telegram bot, and any related APIs and integrations) you agree to these Terms of Service ("Terms"). If you don't agree, don't use the service.

You must be at least 16 years old to create an account. If you're using BrainCopy on behalf of a company, you confirm that you have authority to bind that company to these Terms.

2. What BrainCopy does

BrainCopy is a personal "second brain" service. Among other things, it lets you:

You're responsible for keeping your password and other authentication credentials confidential. Account-sharing is not permitted; one account is for one human. Notify us via the support chat at braincopy.ai if you believe your account has been compromised.

The information you give us at sign-up (email, display name) must be accurate. We may suspend or terminate accounts that use false identity information.

4. Subscription, payment, and refunds

The text-capture experience is free of charge. Photo capture, voice capture, and voice transcription require an active monthly subscription, currently EUR 10 per month including 25% Swedish VAT. AI-processing features (face detection, AI Vision, diary enrichment, OCR for handwritten documents, exports beyond the included tier) are sold as one-off purchases at the prices listed at the point of purchase, also including VAT.

Subscriptions auto-renew monthly until you cancel. You can cancel from your account settings at any time and the cancellation takes effect at the end of the current billing period.

Statutory cooling-off (EU consumers): if you're a consumer in the EU/EEA, you have 14 days to withdraw from a new paid subscription. Because the service starts immediately on subscribing, you agree that we begin performance during that period; if you withdraw within 14 days you're entitled to a refund proportional to the time that hadn't yet elapsed when you withdrew.

Outside the cooling-off period we don't issue partial-month refunds for cancellations. One-off AI-processing purchases are non-refundable once the work has begun (which usually happens within minutes of purchase) but we will refund unused balance if a feature is materially broken on our side.

VAT is included in all prices we display. Cnvert Sweden AB declares and remits Swedish VAT to Skatteverket.

5. What you can and can't do with the service

Use BrainCopy for your own legitimate personal or business purposes. Don't:

If you import data about other people (photos, messages, contact information), you confirm that you have the legal right to do so under applicable privacy law. Where required, you should inform the people concerned and seek consent. We act as data processor for that material under the privacy policy.

6. Your content stays yours

You retain all ownership rights and intellectual-property rights in the content you upload, capture, or otherwise add to BrainCopy. We don't claim a licence to use your content for any purpose beyond running the service for you.

Specifically, we do not:

We do hold a narrow technical licence — to store, copy, transmit, transcribe, classify, embed, and otherwise process your content — but only insofar as necessary to operate the service for you and only for as long as you remain a user. If you delete content or your account, this licence ends with respect to that content.

7. AI features may be wrong

BrainCopy uses external and self-hosted AI models for transcription, image description, classification, face recognition, optical character recognition, and natural-language drafting. These models make mistakes. Names get misheard, dates get misread, faces get misidentified, drafts get phrased awkwardly. Don't rely on AI output as a primary source of truth for matters where accuracy actually matters — medical decisions, legal records, financial commitments, and similar.

You can review and correct AI outputs from your dashboard. We don't warrant that AI features will be free of errors, available continuously, or produce results suitable for any particular purpose.

8. Storage, backups, and your responsibility

Where we host your files (Hetzner Object Storage for thumbnails and temporary uploads; the BrainCopy-provisioned cloud storage and underlying Hetzner Storage Box for user files when you've subscribed to that option) we run automatic backups using Hetzner's built-in snapshot mechanisms. The MySQL database that stores your structured records (diary entries, people, projects, captures) is also backed up by Oderland on a daily basis with at least 7 days of retention.

What this means in practice:

You should still keep your own copies of irreplaceable material. Backups are best-effort, not guaranteed. We can't promise to recover data lost in a worst-case scenario (data-centre fire, simultaneous failure of primary and backup, ransomware reaching the snapshot store). The Export feature on your account lets you download everything we hold for you in standard formats; we recommend running it periodically.

We don't act as a primary backup service for content stored elsewhere. If you delete a photo from your iPhone after BrainCopy has imported it, it's the BrainCopy copy that lives on — not the other way around.

9. Service availability

BrainCopy is provided on a best-effort basis. We don't commit to a specific uptime percentage and we don't offer service-level credits. We do work hard to minimise unplanned outages and we publish material incidents in the support chat.

We may take the service offline for maintenance, upgrades, or security work, normally at low-traffic times and normally with advance notice in the dashboard.

10. Legacy feature

The Legacy feature lets you designate one or more recipients who, after a triggering event (a manual handover that you initiate, a confirmed inactivity period, a specific date, or — in a future tier — verified passing), can be granted access to a part or all of your archive. You configure the recipients, the data scope, the trigger condition, and the verification process from your account settings.

11. Sub-processors

We use third-party services to deliver parts of BrainCopy, listed in our Privacy Policy. We're responsible for choosing and supervising sub-processors but we are not liable for failures, downtime, or data incidents that occur entirely on a sub-processor's side and that we couldn't reasonably have foreseen or mitigated. Our liability for sub-processor failures is governed by section 13 below.

12. Data export, account deletion, and termination

You can request a full export of your data from Settings → Export. The export contains your captures, diary entries, people, projects, ideas, tasks, tags, media metadata (with download URLs while your account is active), and AI processing results in machine-readable format.

You can delete your account from Settings → Delete my account. After confirmation a 7-day grace period runs (during which you can cancel by signing back in) and then we cascade-delete your domain data within roughly one hour. Your row in the users table is anonymised; financial records (invoices, AI-processing purchases) are retained for 7 years to comply with Swedish accounting law (Bokföringslagen § 7), with all personally identifying fields nulled.

We may suspend or terminate your account, with or without notice depending on the situation, if you breach these Terms in a way that's material — for example uploading illegal content, attacking the service, or repeatedly missing payment. We will give you a chance to export your data before deletion unless circumstances make that impossible.

13. Limitation of liability

To the maximum extent permitted by applicable law:

The cap applies per user and per twelve-month window — it is a single cap regardless of how many claims or events arise.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable mandatory law.

14. Indemnity

You agree to indemnify and hold harmless Cnvert Sweden AB, its officers, employees, and contractors from any third-party claim arising out of (a) content you upload that infringes someone else's rights or violates the law, or (b) your breach of section 5 (acceptable use). This indemnity is capped at the same amount as our liability under section 13. We will tell you about any claim promptly and let you participate in the defence.

15. Force majeure

Neither party is liable for delay or failure to perform under these Terms caused by an event beyond its reasonable control — including but not limited to wars, terrorism, civil unrest, governmental action, labour disputes, internet or telecommunications failures, third-party platform outages, and natural disasters. The affected party will tell the other as soon as practicable and resume performance once the event has ended.

16. Changes to these Terms

We may change these Terms from time to time. For changes that materially affect your rights or obligations we will give you at least 30 days' notice by email at the address on your account, and we will update the effective date at the top of this page. If you don't agree with the change, your remedy is to stop using the service and (if applicable) cancel your subscription before the change takes effect. Continued use after the change takes effect counts as acceptance.

For minor changes — typographical corrections, clarifications that don't reduce your rights, contact-detail updates — we may apply the change without notice and refresh the effective date.

17. Assignment

You may not assign or transfer these Terms or any rights under them without our written consent. We may assign these Terms to any acquirer of the BrainCopy service or substantially all of Cnvert Sweden AB's assets, on the same terms; we will tell you if this happens.

18. Governing law and disputes

These Terms are governed by the laws of Sweden, without regard to conflict-of-laws principles.

If you're a consumer resident in the EU/EEA, you keep all mandatory rights granted to you by the consumer-protection law of the country where you live; nothing in these Terms removes those rights, and you may bring proceedings in your country of residence as well as in Sweden.

For other users, exclusive jurisdiction lies with the courts of Gothenburg, Sweden.

You may also use the EU's Online Dispute Resolution platform at ec.europa.eu/consumers/odr for consumer disputes.

19. Entire agreement

These Terms, together with the Privacy Policy, are the entire agreement between you and Cnvert Sweden AB about the BrainCopy service and supersede any prior agreement on the same subject. If any clause is found unenforceable, the rest of the Terms remain in effect.
